SHARE YOUR MD MEDIA

1. Grant of Rights
I grant MD Helicopters, LLC (“MDH”), together with its parent, subsidiaries, affiliates, successors, assigns, licensees, and authorized dealers, distributors, and marketing partners, an irrevocable, perpetual, worldwide, royalty-free, fully paid-up, non-exclusive, sublicensable license to use, reproduce, distribute, publicly display, publicly perform, transmit, broadcast, edit, crop, retouch, color-correct, resize, caption, combine with other material, and create derivative works from the photographs, video, audio, and other content I submit through this form (the “Media”), in whole or in part, in any and all media now known or hereafter developed.

2. Permitted Uses
Permitted uses include, without limitation: MDH websites, microsites, and landing pages; social media channels; paid and organic advertising; trade show, air show, and event displays; sales, marketing, product, and training materials; press releases and media relations; customer, investor, and government presentations; internal communications; and third-party publications, broadcasts, and platforms in which MDH content appears.

3. Name, Likeness, and Credit
I consent to the use of my name, voice, likeness, employer or organization, aircraft registration, and biographical information in connection with the Media. MDH will provide credit where practical, consistent with the credit preference I selected on this form, but MDH is under no obligation to provide credit and the absence or alteration of a credit is not a breach of this Release.

4. Ownership of Copyright
I retain ownership of the copyright in the Media I submit. This Release grants MDH a license to use the Media; it is not an assignment or transfer of copyright.

5. Representations and Warranties
I represent and warrant that: (a) I own or otherwise control all rights in the Media; (b) I am the creator of the Media or hold written permission from the creator to submit it under these terms; (c) every identifiable person appearing in the Media has consented to this use; (d) if any identifiable person appearing in the Media is under 18 years of age, I am that person’s parent or legal guardian or hold written consent from the parent or legal guardian; and (e) the Media does not infringe or violate any copyright, trademark, trade dress, privacy, publicity, contractual, or other right of any third party.

6. Restricted and Controlled Content
I represent and warrant that the Media does not contain, depict, or disclose: classified or controlled unclassified information; technical data or defense articles subject to the International Traffic in Arms Regulations (22 C.F.R. Parts 120–130) or the Export Administration Regulations (15 C.F.R. Parts 730–774); proprietary, trade secret, or confidential information of MDH or any third party; material subject to a nondisclosure, customer, supplier, or government agreement; restricted-access areas, secure facilities, or manufacturing processes; or operational, tactical, or mission-sensitive activity. I understand that MDH may decline, withhold, edit, delete, or remove any submission at its sole discretion, with or without notice, and that MDH’s review is not an endorsement or clearance of the Media.

7. No Compensation
I acknowledge that I have received and will receive no payment, royalty, fee, or other compensation of any kind for the Media or for any use of it, now or at any time in the future, and that this Release is given freely and without expectation of compensation.

8. No Obligation to Use
MDH is under no obligation to use, publish, or retain the Media. MDH may store, archive, or delete the Media at its discretion.

9. Release and Indemnification
I release, discharge, and hold harmless MDH and the parties identified in Section 1 from any and all claims, demands, causes of action, damages, and liabilities of any kind arising out of or relating to the Media or its use, including without limitation claims for defamation, invasion of privacy, right of publicity, false light, misappropriation, and copyright or trademark infringement. I agree to indemnify and defend them against any third-party claim arising from a breach of my representations and warranties in this Release.

10. Age, Authority, and Binding Effect
I am at least 18 years of age (or the age of majority in my place of residence) and have the legal capacity and authority to enter into this agreement. If I am submitting on behalf of a company, agency, or other organization, I represent that I am authorized to bind that entity. This Release is binding on my heirs, executors, administrators, successors, and assigns.

11. Governing Law and Venue
This Release is governed by the laws of the State of Arizona, without regard to its conflict-of-law provisions. The state and federal courts located in Maricopa County, Arizona shall have exclusive jurisdiction over any dispute arising out of or relating to this Release.

12. Entire Agreement and Severability
This Release, together with the Terms of Submission published on this page, is the entire agreement between me and MDH regarding the Media, and supersedes any prior understanding. It may be modified only in a writing signed by an authorized representative of MDH. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.

13. Electronic Signature
By typing my full legal name in the signature field below and submitting this form, I am signing this Release electronically. I agree that my electronic signature is the legal equivalent of my handwritten signature and that the date and time recorded by this form constitute the date of execution.
